  1. encompas will not place an order without a signed and dated proposal, which indicates that Customer agrees to all terms and conditions stated herein.

  2. The proposal is valid for no more than 30 days from the proposal date.

  3. encompas will require a deposit of 50% of the sell price shown on the proposal to place any order. The balance (the remaining 50%) is due upon receipt of the invoice. encompas must receive the deposit before the order is placed. encompas remains harmless from any detriment to the Customer when order entry is delayed due to non-receipt of a deposit or prepayment.

  4. Payment terms are as noted above. The net invoice is initiated upon shipment of product. If the project is postponed for any reason, other than that caused by encompas, payment is still due as specified.

  5. Payment for all product is due upon receipt of invoice. Should any product be missing or damaged, payment for the missing or damaged product may be withheld until such product has been produced or reproduced and installed. Payment for installation services is due upon completion of the services.

  6. Unless otherwise noted, all labor quoted is non-union and will occur during normal business hours, which is 8:00AM to 4:00PM CST, Monday through Friday.

  7. All labor is quoted as a single-phase installation unless noted otherwise. Additional trips or phases will result in added cost to the labor quotation.

  8. A contingency fee equal to 10% of all installation costs, based on job site conditions, may be added to the final invoice. The continency fee will only be added after a discussion with and approval from the Customer.

  9. The Customer agrees to remove all electronics and/or equipment from existing furniture prior to start of installation or reconfigure. The Customer further agrees any additional installation charges associated with the removal of any items from the furniture after the arrival of the installation crew will be added to the final invoice.

  10. Unless otherwise and previously noted, and when applicable, a completely accessible and operable elevator will be available for use by the installation crew during normal business hours as stated above. A "stair-carry" will result in additional changes and will be added to the final invoice.

  11. Unless otherwise noted, any electrical connection from the building power to the furniture is not included in the pricing and must be performed by a licensed electrician.

  12. If the site is not ready for installation as scheduled, additional charges for double handling will be added to the final invoice for any product redirected and stored at a warehouse.

  13. Installation of any product will only occur after the jobsite has received either a Certificate of Occupancy (CO) or a Temporary Certificate of Occupancy (TCO), and is free and clear of all debris, and all other trades are off the jobsite.

  14. Unless previously agreed to or otherwise stated by encompas, the Customer must provide a signed and dated purchase order to place an order for all product(s) and/or service(s) listed on the proposal.

  15. Unless otherwise noted by encompas, all orders are non-returnable and non-refundable.

  16. Any change to an order, including but not limited to, date moves, product changes/deletions, and ship to changes may incur additional fees once the order has been placed.

  17. The Customer agrees to pay all restocking fees that may result from any revision, by the Customer, to any part of an order related to this proposal.

  18. The Customer agrees to pay a Transaction Convenience Fee of three- and one-half percent (3.5%) of the sell price shown on the proposal (plus applicable tax) when the method of payment is in any form other than encompas standard payment methods, which are cash, check, or ACH/direct deposit.

  19. The Customer further agrees to pay encompas a late fee for any invoice that is more than 60 days past due. The late fee will be calculated at 2% of all unpaid and/or open balances that are more than 60 days old.

  20. Unless otherwise noted the proposal does not include applicable sales tax. However, any sales tax noted on the proposal is estimated. Applicable sales tax will be included on the invoice unless a valid Sales Tax Exemption Certificate or a valid Resale Certificate is provided to encompas by the time the order is placed.

  21. Force Majeure. If our performance of any of our obligations pursuant to this agreement is prevented, hindered, or delayed by a natural disaster, or any extreme event, encompas will not be held to the terms of this agreement. encompas will notify the customer of any such delays and provide options and updates to this order.
